Rink Fries

Vendor Agreement

Effective September 6, 2026 · Last updated October 6, 2026

This agreement is between Rink Fries Inc. and the business or person that registers a business on the Rink Fries platform and takes orders through it. In this agreement "you" is that business. A vendor is a canteen at a rink or venue, a food truck, or another independent seller. By registering a business or accepting an order through Rink Fries you agree to this agreement. Our Terms of Service, Privacy Policy, and Acceptable Use Policy apply to you as well; where this agreement differs from them, this agreement governs.

The short version

  • Rink Fries takes orders and payments for you. You make the food and you are responsible for it.
  • Customers pay by card through our payment provider. The money is paid to your account with the provider, and you pay the provider's card fees.
  • A service fee shown to the customer at checkout is Rink Fries' fee. It is taxed as the law requires, and it is returned in proportion when you refund.
  • Tips go to you in full.
  • You decide refunds and you handle disputes about your food.
  • Either of us can end this agreement.

1. What Rink Fries is

Rink Fries is a technology platform. It shows customers your menu, takes their orders, collects their payment, sends the order to your kitchen screen, and tells the customer when it is ready.

Rink Fries is not a restaurant, a caterer, a food provider, a delivery company, your employer, your partner, or your agent. Nothing in this agreement creates a partnership, joint venture, franchise, or employment relationship between us.

2. What you are responsible for

You are solely responsible for:

  • preparing, packaging, and handing over every order,
  • food quality, food safety, allergens, labelling, and every licence and inspection your business needs,
  • the accuracy of your menu, prices, descriptions, and availability,
  • your staff, their training, and what they do on Rink Fries,
  • the fulfilment times you set and the customer service for what you sell,
  • complying with the laws that apply to your business, including tax law and the rules of any venue you operate in.

We do not inspect your kitchen and we do not verify your menu, ingredients, or allergen information. What you publish on Rink Fries is your statement to the customer, not ours.

3. Your account and your staff

You must give us accurate business, contact, and tax information and keep it up to date. You are responsible for everything done through your business account, including by your staff.

You may invite staff and give each of them a role. Roles limit what a person can do on the platform, and it is your job to give each person the role their work needs and to remove people who leave. We may suspend or restrict access to protect the platform or a customer.

4. Payments, fees, and taxes

4.1 How customers pay

Customers pay by card through one of the payment providers Rink Fries supports. You connect your own account with that provider to Rink Fries and each customer payment is charged directly to that account, so the money for an order is paid to you by the provider, not by us.

4.2 Card processing fees

You pay the payment provider's fees on every transaction, including percentage and per-transaction fees, under your own agreement with the provider. Rink Fries does not pay, absorb, or reimburse processing fees.

4.3 The Rink Fries service fee

You may set a service fee as a percentage of the items on an order. It is shown to the customer as a separate line before they pay, and it is Rink Fries' fee for the platform. Where your payment provider can split a payment, it routes the service fee and the tax on it to Rink Fries when the customer pays. Where it cannot, the whole payment goes to you and we invoice you once a month for the service fees and the tax on them for that month's orders. Tax applies to the service fee because the law treats a platform fee as a taxable service; we calculate it at the rate for your location.

When you refund an order in full, the service fee and its tax are returned to the customer with the rest of the payment. When you refund part of an order, the share of the service fee on the refunded items is returned with them. Rink Fries does not keep a fee on money you have returned, and a refunded fee is left off your monthly invoice.

4.4 Tips and delivery fees

A tip a customer adds at checkout goes to you in full. No service fee or tax is charged on it, and Rink Fries takes no share of it. A delivery fee you set for address delivery is yours and is taxed as your settings require.

4.5 Taxes on your sales

You are responsible for determining, collecting, reporting, and remitting the taxes on what you sell. Rink Fries calculates and shows tax on each order from the settings and registration number you give us, and it is your job to make sure those are right. We do not give tax, legal, or accounting advice.

5. Refunds, cancellations, and disputes

You decide whether to refund an order and you do so through Rink Fries, in full or item by item. A refund goes back to the customer's card through the provider and a refund can never exceed what the customer paid. You may cancel an order at any point before it is complete; cancelling does not itself move money, and a paid order you cancel should be refunded.

You handle disputes about your food and your service. Where a problem was caused by the platform itself, we may refund the customer ourselves and we will tell you. A chargeback raised against a payment is between you and the provider; we will give you the order records to answer it.

6. Data and privacy

Your business data is yours. You give us permission to use it to run and improve the platform, and to count orders per venue and per vendor for reporting, as described in our Privacy Policy.

Customers' information reaches you so you can fill their orders. You may use it only for that. You may not add customers to a mailing list, share their details, or keep them beyond what your own legal obligations require, and you must comply with Canada's privacy law when you handle them.

The credentials you give us to connect your payment account are stored encrypted, and we do not see your provider login.

7. Intellectual property

You keep ownership of your name, logo, menu, photos, and descriptions. You give us permission to display them on the platform for as long as you sell there. Rink Fries keeps all rights in the platform, its name, and its software.

8. Availability

We work to keep Rink Fries available and correct, but we provide it as it is. We do not guarantee uptime, a level of order volume, or uninterrupted service, and we may change or withdraw a feature. Where we can, we will do maintenance outside busy hours and tell you in advance.

9. Ending this agreement

You may stop selling on Rink Fries at any time by disconnecting or closing your business account. We may suspend or close your account if you break this agreement, fail to meet food safety or legal requirements, use the platform for fraud or abuse, or create a legal, financial, or reputational risk. Either way, orders already paid for must still be filled or refunded, and sections 6, 7, 10, and 11 continue to apply.

10. Liability

To the extent the law allows, Rink Fries is not liable to you for lost revenue, lost profit, or lost opportunity, and is not responsible for food quality, safety, or a failure to fill an order. Our total liability to you under this agreement is limited to the service fees Rink Fries received from your orders in the three months before the claim.

11. Your responsibility to us

You agree to cover the reasonable costs of any claim against Rink Fries that arises from your food, your service, your staff, your tax compliance, a dispute or chargeback about your orders, or your breach of this agreement.

12. Confidentiality

Each of us will keep the other's non-public business and technical information confidential and use it only for this agreement.

13. Changes

We may change this agreement. We will tell you by email before a material change takes effect, and continuing to take orders after that date means you accept it. Each order is governed by the agreement in force when it was placed.

14. Law

This agreement is governed by the laws of the Province of Nova Scotia and the federal laws of Canada that apply there. The courts of Nova Scotia have jurisdiction.
